Service Agreement
This Service Agreement (“Agreement”) governs the provision and use of BackendBots’ software systems, intelligence platforms, and related services (“Services”). By accessing or using our Services, the Client agrees to the terms outlined below.
BackendBots delivers enterprise intelligence systems designed to support operational clarity, automation, and decision-making. This Agreement establishes the framework for a secure, reliable, and accountable working relationship.
1. Scope of Services
BackendBots provides AI-powered business systems, automation infrastructure, and intelligence solutions that may include revenue intelligence, operational systems, financial monitoring, compliance tools, and predictive analytics.
All Services are defined in a separate:
Statement of Work (SOW)
Order Form
Proposal or Deployment Plan
Each SOW specifies:
Systems deployed
Implementation scope
Delivery timelines
Support level
Commercial terms
Services not expressly stated in an SOW are excluded.
2. Nature of the Platform
BackendBots provides intelligence and automation systems that assist decision-making and operational execution.
Unless explicitly agreed:
BackendBots does not operate the Client’s business
BackendBots does not make decisions on behalf of the Client
BackendBots does not replace human oversight
Clients remain responsible for interpreting insights and executing decisions.
3. Client Responsibilities
The Client agrees to:
Provide accurate and lawful data
Maintain required system access and credentials
Ensure internal compliance with laws and regulations
Assign appropriate personnel for coordination
The effectiveness of the Services depends on data quality, cooperation, and operational alignment.
BackendBots is not responsible for degraded performance resulting from incomplete or inaccurate client input.
4. Data Ownership and Usage
The Client retains ownership of all data provided to BackendBots.
BackendBots:
Processes data only to deliver Services
Does not sell client data
Does not use client data for unrelated purposes
Aggregated and anonymized system-level insights may be used to improve platform performance, provided no client-identifiable information is disclosed.
5. Security and Safeguards
BackendBots employs commercially reasonable safeguards to protect data and system integrity, including:
Access controls
Encryption practices
Secure infrastructure standards
Role-based permissions
No system can be guaranteed fully secure. Clients acknowledge inherent technology risks and agree to maintain their own security practices.
6. Confidentiality
Both parties agree to protect non-public information, including:
Business processes
Technical configurations
Financial information
Strategic data
Confidential information shall not be disclosed without written consent, unless required by law.
This obligation survives termination of the Agreement.
7. Fees and Payment Terms
Fees and billing terms are defined in the applicable SOW.
Failure to meet payment obligations may result in:
Suspension of Services
Withholding of support
Termination of access
All fees are non-refundable unless stated otherwise.
8. Service Availability
BackendBots strives for high availability and reliability.
However, Clients acknowledge:
Maintenance windows may occur
Updates may affect availability
Third-party systems may impact performance
No uninterrupted or error-free operation is guaranteed.
9. Intellectual Property
All BackendBots systems, models, and frameworks remain the intellectual property of BackendBots.
Clients receive a limited, non-transferable license to use the Services as defined in the SOW.
Clients may not:
Reverse engineer systems
Replicate proprietary logic
Redistribute platform components
10. Limitation of Liability
To the maximum extent permitted by law, BackendBots is not liable for:
Indirect or consequential damages
Lost profits or lost opportunities
Decisions made using system outputs
External system failures or integrations
Client misuse of the platform
BackendBots’ total liability shall not exceed the fees paid in the preceding 12 months.
11. Indemnification
The Client agrees to indemnify BackendBots against claims arising from:
Unlawful use of Services
Violation of regulations
Misuse of data
Breach of this Agreement
12. Term and Termination
This Agreement remains in effect as long as Services are active.
Either party may terminate according to the notice terms in the SOW.
Upon termination:
Access may be revoked
Data export may be requested within a defined period
Outstanding fees remain payable
13. Modifications
BackendBots may update this Agreement to reflect legal, technical, or operational changes. Material updates will be communicated.
Continued use of Services constitutes acceptance.
14. Governing Law
This Agreement is governed by the laws of [Insert Jurisdiction].
